Standard Terms and Conditions

1.1 “Agreement” means the contract formed between the Company and the Client for the supply of Goods and/or Services.

1.2 “Client” means the person, firm, company or organisation purchasing Goods and/or Services from the Company.

1.3 “Company” means Iconic Engineering Solutions Ltd.

1.4 “Project” means the work, manufacturing order, machining operation, or engineering services described in any quotation, proposal, or offer.

1.5 “Services” means any engineering, machining, fabrication, design, consultancy, inspection or related services provided by the Company.

1.6 “Goods” means any machined parts, assemblies, fabricated components, prototypes, or products manufactured or supplied by the Company.

1.7 “Third Party” means any person other than the Company, the Client, or their respective employees or agents.

1.8 “Costs” include but are not limited to labour time, materials, tooling, programming, machine time, administration, subcontract services and overheads.

2.1 These Terms and Conditions together with any associated quotation or proposal issued by the Company shall constitute the entire Agreement between the Client and the Company.

2.2 These Terms and Conditions take precedence over any terms supplied by the Client unless expressly agreed in writing by the Company.

2.3 The Company shall not be bound by any terms supplied by the Client unless confirmed in writing.

3.1 The Company shall exercise reasonable skill and care in the manufacture of Goods and the performance of Services.

3.2 The Company reserves the right to withdraw from a Project if the work involves unsafe practices, unacceptable engineering standards, or environmental risks.

4.1 This Agreement shall be governed by and construed in accordance with the laws of England and Wales.

5.1 The Company shall keep confidential all information relating to the Client’s business obtained during the course of performing the Services.

5.2 This obligation shall not apply to information already in the public domain or disclosed with the written consent of the Client.

6.1 All intellectual property rights in drawings, CAD files, reports, programs, documentation and other materials produced by the Company remain the property of the Company unless otherwise agreed in writing.

6.2 Such materials are supplied solely for the purpose for which they were commissioned.

7.1 The Company warrants that Goods and Services will be supplied using reasonable skill and care.

7.2 Where the Company supplies goods sourced from third parties, the Company provides no additional warranty beyond that offered by the original supplier.

7.3 Claims relating to defective Goods or Services must be notified within 30 days of delivery.

7.4 The Company shall not be liable for defects arising from inaccurate drawings or instructions supplied by the Client.

7.5 The Company shall not be liable for loss of profit, production losses, or indirect or consequential losses.

7.6 Total liability shall not exceed the total value of the Goods or Services supplied.

7.7 Delivery dates are estimates only and delays may occur due to factors outside the Company’s control.

The Client must inspect all Goods immediately upon receipt.

Any concerns relating to machining quality, dimensional accuracy, non‑conformance with drawings, missing items, or transit damage must be reported in writing within 7 calendar days of delivery.

Notification must include job numbers, photographs where applicable, inspection measurements where available, and a description of the issue.

Failure to notify within this period constitutes acceptance of the Goods.

Where a valid claim is received, the Company may repair, replace, re‑machine the parts, or issue a credit at its discretion.

No Goods may be returned without prior written authorisation.

Where goods are delivered by third‑party courier, the Client must inspect the package before signing. 

The Company cannot accept responsibility for damage once goods have been signed for without notation.

8.1 The Client must provide all drawings, CAD files, specifications and approvals required to complete the Project.

8.2 If additional work is required due to revised drawings or missing information the Company may charge additional hourly rates.

Where drawings are supplied without specified tolerances the Company will manufacture to a tolerance of ±0.25 mm for linear dimensions and hole diameters.

Where the Client supplies material for machining the Company accepts no responsibility for material quality or defects.

Normal machining processes may result in scrap and the Company shall not be liable for loss of such materials.

All tooling, fixtures, machining strategies and CAM programs developed by the Company remain the property of the Company unless otherwise agreed.

Reasonable scrap may occur during setup, first article inspection, or production. The Company shall not be liable for such scrap.

Prototype or development work may require iterative processes. Parts are produced on a best‑effort basis unless otherwise agreed.

Where the Client supplies drawings or CAD models, the Client remains responsible for the design and suitability of the component.

Inspection will be performed using standard workshop measurement equipment unless otherwise specified.

Certified inspection or CMM reports must be requested in advance and may incur additional charges.

The Company reserves the right to apply minimum order values or setup charges for small batch or one‑off machining work.

Clients must collect or accept delivery within 30 days of notification of completion.

Storage fees may apply after this period.

Goods remaining uncollected for more than 90 days may be sold or disposed of to recover costs.

Parts will be supplied with a standard workshop finish unless specific cosmetic requirements are stated on drawings or purchase orders.

Additional finishing requirements may incur extra charges.

The parties shall attempt to resolve disputes through negotiation or mediation.

Payment terms shall be as stated in the quotation.

Title to Goods remains with the Company until payment is received in full.

Interest on overdue payments will be charged in accordance with the Late Payment of Commercial Debts (Interest) Act 1998.

Documents produced by the Company are for use by the Client only and may not be relied upon by third parties.

The Company may terminate the Agreement if the Client fails to make payment or breaches the Agreement.

The Company shall not be liable for failure or delay due to circumstances beyond its control including fire, machine breakdown, labour disputes, supply shortages, transport delays, or government restrictions.

The Client confirms acceptance of these Terms and Conditions upon placing an order with Iconic Engineering Solutions Ltd.
